Business Update: Strategic Restructuring

The Board approved the proposed disinvestment of the Company's entire shareholding in two subsidiaries:

  • 90% stake in Viviana Life Spaces Private Limited
  • 75% stake in Aarsh Transformers Private Limited

The proposed transaction is part of the Company's strategic restructuring and long-term business realignment, subject to:

  • Definitive agreements
  • Regulatory approvals
  • Customary closing conditions

Upon completion of the transaction, both Viviana Life Spaces Private Limited and Aarsh Transformers Private Limited will cease to be subsidiaries of the Company.

Management Commentary

Mr. Nikesh Choksi, Chairman & Managing Director commented on the disinvestment:

"This strategic restructuring reflects our long-term vision of building a more focused, agile and scalable organization. The proposed disinvestment allows Viviana Power Tech to concentrate entirely on its core power infrastructure business, including EPC projects, power transmission and distribution, power transformer manufacturing, renewable energy integration, Battery Energy Storage Systems (BESS), and other emerging opportunities across India's evolving energy landscape.

By integrating transformer manufacturing directly within the Company, we aim to strengthen operational control, enhance execution capabilities and create greater synergies across our value chain.

This restructuring is expected to improve operational efficiency, simplify the corporate structure, optimize capital deployment and strengthen management accountability."

On financial performance, Mr. Choksi stated:

"We have started FY27 on a strong note, delivering robust growth across all key financial parameters. Revenue from operations increased by 246% YoY to ₹71.86 crore, while EBITDA and PAT grew by 232% YoY to ₹11.56 crore and ₹6.93 crore, respectively. Our EBITDA and PAT margins remained healthy at 16.08% and 9.65%, reflecting our continued focus on operational efficiency and disciplined project execution.

The strong performance is driven by healthy execution across our EPC projects, timely order deliveries, and our ability to capitalize on the increasing investments in India's power transmission and distribution infrastructure. With a healthy order book and a strong bidding pipeline, we remain confident of sustaining our growth momentum in the coming quarters."

Company Background

Viviana Power Tech Ltd. is an EPC company engaged in power transmission, distribution, and industrial electrical projects across India. The company provides comprehensive solutions including:
