Strategic Business Decisions

The Board approved entry into EPC, Solar IPP (including solar parks), and energy trading businesses to expand across the broader solar energy value chain. To undertake these activities, the Board approved:

1. Subscribing to 40% of the Equity Share Capital of Bright Earth Cell Private Limited (to be renamed Bright Green Power Trading Private Limited) for energy trading business

2. Incorporation of Special Purpose Vehicles (SPVs) in the form of wholly-owned subsidiary companies for other businesses

Company Status: Incorporated on 17th June 2025, not yet started operations, no turnover in FY26

Capital Structure Update

The Company fully repaid the outstanding term loan from Indian Renewable Energy Development Agency Limited (IREDA) on 4th August 2026 using internal accruals. The outstanding liability stands fully discharged.

Subsidiary Information

The consolidated results include Websol Renewables Private Limited, a wholly-owned subsidiary incorporated in India with effect from 13th October 2025. The subsidiary has not commenced operations.

Auditor Review

The unaudited financial results were reviewed by G.P. Agrawal & Co., Chartered Accountants, who issued an unqualified review report stating nothing came to their attention suggesting material misstatement.
