  • The Scheme of Amalgamation sanctioned by the Hon'ble National Company Law Tribunal (NCLT) became effective on June 05, 2026.
  • Effectiveness was achieved upon filing of the certified copies of the NCLT orders with the Registrar of Companies.

Share Transfer Details

  • Pursuant to the Scheme, the shareholding held by Ravi Marketing & Services Private Limited in Archidply Decor Limited has vested in Assam Timber Products Private Limited.
  • The shareholding held by Vanraj Suppliers Private Limited in Archidply Decor Limited has vested in Shree Shyam Tea Private Limited.

Nature of Transaction

  • The transactions constitute an internal restructuring and reorganization within the promoter group.

  • There is no change in management or control of the Company.

Current Status

  • The Company is in the process of giving effect to the transfer and recording of the aforesaid shares in its statutory records in accordance with the Scheme.
  • Corporate actions and updating of records are being undertaken in accordance with the Scheme.
  • Necessary disclosures under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and other applicable laws will be made in due course.
