Scheme of Amalgamation Effective Date

The Scheme of Amalgamation sanctioned by the Hon'ble National Company Law Tribunal, Guwahati has become effective on June 05, 2026 upon filing of the certified copies of the NCLT orders with the Registrar of Companies.

Shareholding Restructuring Details

Pursuant to the Scheme:

  • The shareholding held by Ravi Marketing & Services Private Limited in Archidply Industries Limited (2,827,850 shares representing 14.24%) has vested in Assam Timber Products Private Limited
  • The shareholding held by Vanraj Suppliers Private Limited in Archidply Industries Limited (3,943,509 shares representing 19.85%) has vested in Shree Shyam Tea Private Limited

Impact on Promoter Shareholding

The transactions represent an internal restructuring and reorganization within the promoter group. The aggregate shareholding of the promoter and promoter group of the Company remains unchanged. There is no change in management or control of the Company.

Implementation Status

The Company is in the process of giving effect to the transfer and recording of the aforesaid shares in its statutory records in accordance with the Scheme. Corporate actions and updating of records are being undertaken as per the Scheme.
