NCLT Order Approval

  • The Hon'ble National Company Law Tribunal, Hyderabad Bench (NCLT) has sanctioned the Scheme of Amalgamation between Quality Care India Limited (QCIL/Transferor Company) and Aster DM Healthcare Limited (Aster DM/Transferee Company) and their respective shareholders and creditors.
  • The approval was granted under Section 230 to 232 and other applicable provisions of the Companies Act, 2013.
  • The order was passed on June 19, 2026.
  • A certified copy of the NCLT Order is awaited.

Scheme Effectiveness and Conditions

  • The Scheme shall become effective upon filing the certified copy of the order with the Registrar of Companies by the respective companies.
  • The effectiveness is also subject to satisfaction of other conditionalities mentioned in the Scheme.

Outcome Upon Effectiveness

  • Upon the Scheme becoming effective, Quality Care India Limited (QCIL) shall stand dissolved without winding up.
  • The Company will intimate the Effective Date to the Stock Exchanges in due course.
