Bharat Gears Limited disclosed a violation of unpublished price sensitive information (UPSI) protocols under Regulation 30 of SEBI LODR Regulations, 2015.

On 26th May, 2026, the company became aware that its Joint Managing Director had shared/disclosed UPSI relating to the company with certain third parties and his personal lawyer, Ms. Prerna Mahajan. These recipients were not part of the company's Board of Directors.

The UPSI pertained specifically to the draft annual financial results and financial statements for the quarter and year ended 31st March, 2026.

The company's Board of Directors meeting is scheduled for 30th May, 2026 to formally consider and approve these annual financial results and statements in accordance with applicable laws and SEBI LODR Regulations.

This unauthorized sharing by the Joint Managing Director constitutes a violation of the Code of Conduct for Prevention of Insider Trading. The company stated it will take appropriate actions based on the outcome of inquiry and as required by applicable law, regulatory directions, or directions of competent authorities.

The company has taken containment measures by sending a notice to the advocate (Ms. Prerna Mahajan) ensuring that the UPSI shared with them shall not be disclosed or disseminated to any other person except as permitted under SEBI Regulations and the company's policy.
