BirlaNu Limited has issued a notice to its shareholders regarding the opening of a Special Window for the transfer and dematerialization of physical securities. This action is taken in compliance with SEBI Circular No. HO/38/13/11(2)2026-MIRSD-POD/ I/3750/2026 dated January 30, 2026.
The Special Window is open for a period of one year, from February 5, 2026, to February 4, 2027. Its purpose is to facilitate the processing of transfer and dematerialization for physical securities that were sold or purchased prior to April 1, 2019. This window also applies to transfer requests that were previously submitted but were rejected, returned, or not attended to due to deficiencies, provided they are rectified and re-submitted within this period.
A key condition is that all such transfers will be processed only in dematerialized form. Furthermore, the securities will be subject to a mandatory lock-in period of one year from the date of registration of the transfer. During this lock-in, the securities cannot be transferred, pledged, or lien-marked.
The notice explicitly states that this special window does not apply to two scenarios: 1) cases involving disputes between the transferor and transferee, and 2) securities that have already been transferred to the Investor Education and Protection Fund (IEPF).
Eligible transferees are required to have a valid demat account and must submit the requisite documents to the company's Registrar and Share Transfer Agent (RTA), Venture Capital and Corporate Investments Private Limited (Unit: BirlaNu Limited), located at 'AURUM', 4th & 5th Floor, Plot No. 57, Jayabheri Enclave Phase-II, Gachibowli, Hyderabad – 500032. The required documents, as per the enclosed SEBI circular, include:
- Original security certificate(s)
- Transfer deed executed prior to April 1, 2019
- Proof of purchase by the transferee
- KYC documents of the transferee
- A latest Client Master List (CML) of the demat account, duly attested by the Depository Participant and not older than 2 months
- A notarized Undertaking-cum-Indemnity bond (format provided in Annexure-A)
The enclosed SEBI circular provides detailed procedures for listed companies and RTAs, including mandates for identity and signature verification, a process for newspaper advertisement in cases of non-cooperation by a transferor (with a minimal fee chargeable to the investor), and an obligation to process complete transfer requests within 70 days of receipt.
