Settlement Terms (Consent Terms)
1. Payment & Membership Fees
- Ms. Sucheta Shetty (respondent) to pay Rs. 25 lakhs plus 18% GST, totalling Rs. 29,50,000, for Category B memberships of two individuals, Amoorth and Aadhyaa.
- Additional refundable security deposit of Rs. 1 lakh each for Amoorth and Aadhyaa.
- Half‑yearly subscription of Rs. 9,000 each (plus 18% GST) for the first six months, payable within a week of signing.
2. Admission Timeline
- Club to enrol and admit Amoorth and Aadhyaa as individual Category B members within 60 days of receipt of payment.
- Provisional full rights to be granted within 7 days of payment, with temporary ID cards.
- Full ballot for Amoorth to be conducted within 45 days of payment.
- Aadhyaa, currently in Europe, to have her ballot/interview via video conference within the same 45‑day window.
- Mr. Santosh Shetty (Category A Member No. S‑788) to introduce both candidates before the ballot.
- Club may waive the usual requirement of additional Class A signatures/recommendations for these memberships.
3. Dependent Membership for Ms. Sucheta Shetty
- She will be admitted as a dependent member under her husband Mr. Santosh Shetty’s Membership No. S‑788, at no extra charge, upon submission of marriage certificate and his consent.
- Her two adopted children, Amaaya Rodrigues and Joshua Rodrigues (adoption order dated 24 February 2026), will also be admitted as dependent members.
- Club to issue ID cards and authorisations for Ms. Shetty and the children within 15 days of execution of the Consent Terms.
- Updated birth certificates and Aadhaar details to be furnished by 31 July 2027; admission will proceed based on the adoption order pending those updates.
- Amaaya’s eligibility as a dependent will continue even after she turns 18 on 10 June 2026.
4. Surrender of Existing Membership
- Ms. Sucheta Shetty’s existing Membership No. R‑294 will be deemed automatically surrendered once all admissions (Amoorth, Aadhyaa, Ms. Shetty, Amaaya, Joshua) are completed and relevant documents issued.
- Until then, she and the children retain rights under Membership No. R‑294.
5. Finality of Payment
- The Rs. 29.5 lakh payment is a full and final settlement covering all taxes, fees, deposits, and future monetary claims related to the admissions.
- No further entrance, transfer, subscription, or administrative charges shall be levied for the admissions covered herein, though regular annual subscriptions for Category B members will continue.
6. Non‑Objection Clause
- The Club commits not to refuse or delay any of the memberships or dependent admissions on any procedural, legal, or administrative grounds, irrespective of any pending civil or criminal proceedings.
7. Supreme Court Submission
- The Consent Terms will be presented to the Court with a prayer to dispose of the SLP in accordance with these terms and to substitute the impugned High Court judgment.
- The terms shall prevail over any inconsistent provisions in the Club’s Articles of Association, bye‑laws, or internal rules.
Final Outcome
- The Supreme Court granted leave, disposed of the appeal, and incorporated the Consent Terms dated 02 June 2026 as part of the order.
- All pending inter‑party legal proceedings are declared closed.
