CCI Approves Bain Capital's Acquisition of Nutraceutical Companies

The Competition Commission of India (CCI) has granted approval for the acquisition of sole control over Omega-Meyer Limited and Meyer Organics Private Limited by BCPE Wellbeing Holdco Two Limited and Integral Investments Asia IV Limited. These acquirers are funds managed and/or advised by Bain Capital Investors, LLC, a US-based private equity investment firm.

The proposed combination involves Bain Capital funds obtaining sole control over both target companies. Omega-Meyer Limited (referred to as Cyan Target) owns and controls the group of companies and affiliates doing business under the 'Vitabiotics' brand, while Meyer Organics Private Limited (Meyer Target) controls the 'Meyer Organics' business operations.

Both target companies are engaged in the provision of nutraceuticals globally, including in the Indian market. Additionally, Meyer Organics Private Limited has presence in the production and supply of over-the-counter and prescription finished dose pharmaceuticals specifically within India.

Bain Capital is described as a private equity investment firm based in the United States that invests across multiple industries including information technology, healthcare, retail and consumer products, communications, financial services, and industrial/manufacturing sectors.
