KMP / Board / Auditor Changes
- M/s. S R B C & CO LLP (SRBC), Chartered Accountants, have submitted their intent to resign as Statutory Auditors of the Company.
- The resignation is effective from the close of business hours on 14th August, 2026.
- SRBC was re-appointed as Statutory Auditors for a second term of five years up to the conclusion of the 91st AGM of the Company (initially appointed at AGM held on 27th July, 2023).
- The resignation follows management's proposal to align statutory auditors with those affiliated to the same network as appointed by the Holding Company, Tube Investments of India Limited (TII).
- The rationale provided is to enable better coordination with TII's auditors and bring efficiency and synergy to the audit process, given CG Power's relative material size (together with its subsidiaries representing more than 50%) to TII's consolidated financial statements.
- The change coincides with the rotation of TII's existing auditors, M/s. S.R. Batliboi & Associates LLP (affiliated with the same network as SRBC), who will demit office after completing their 10-year term at TII's AGM on 14th August, 2026.

Financial Results
- SRBC has already conducted and issued their limited review report on the Company's financial results for the quarter ended 30th June, 2026, dated 24th July, 2026.
Auditor’s Report
- SRBC will submit additional details as required under SEBI circular CIR/CFD/CMD1/114/2019 dated 18th October, 2019 post-resignation.
- The Company will intimate these details to the stock exchanges within stipulated time frames after receipt.

- The resignation is communicated pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
- Reference is made to the terms of the master engagement agreement dated 28th July, 2023 between CG Power and SRBC.
