Background and Context

The company received multiple queries from BSE via emails dated January 31, 2025, May 7, 2025, August 28, 2025, November 7, 2025, and January 8, 2026 regarding discrepancies in shareholding patterns. The company acknowledges that originally submitted patterns for quarters ended December 2024, March 2025, June 2025, and September 2025 contained typographical errors, and revised patterns were submitted through various letters with reference numbers CMMH/BSE/2024-25/55, CMMH/BSE/2025-26/35, CMMH/BSE/2025-26/36, CMMH/BSE/2025-26/37, CMMH/BSE/2025-26/55, and CMMH/BSE/2025-26/57.

Key Event: Promoter Demise and Succession

Our Promoter, Late Mr. A.N. Radhakrishnan, deceased intestate on December 3, 2022, leaving behind four legal heirs: his wife, two sons, and a daughter (pre-deceased daughter represented by her sons). He held 37,57,166 equity shares (50.3% of total outstanding share capital) shown under Promoter category. The deceased shareholder had appointed his wife Mrs. Gomathi Radhakrishnan as his nominee, and shares were transferred to the nominee post-demise, with same intimated to stock exchange.

Legal Proceedings and Settlement

The legal heirs approached the Hon'ble High Court of Madras for partition of the estate. The matter was referred to the Mediation and Conciliation Centre, High Court of Madras, resulting in a successful mediation process. The legal heirs entered into a Memorandum of Settlement dated July 31, 2024, which was decreed by the Hon'ble High Court on August 8, 2024. The settlement provided for division of properties including shares held by Late Mr. A.N. Radhakrishnan in the following ratios:

  • Mrs. R. Gomathi (Wife): 1/5th share of total shares
  • Mrs. Jayanthi Radhakrishnan (Daughter): 1/5th share of total shares
  • Mr. Rakesh Radhakrishnan (Son): 1/5th share of total shares

  • Dr. Gautam Srinivas (Grandson): 1/10th share of total shares
  • Dr. Arvind Srinivas K.P (Grandson): 1/10th share of total shares

Share Transmission Actions

Post the court decree, the legal heirs submitted request letters for transmission of the 37,57,166 shares held by Late Mr. A.N. Radhakrishnan. The company executed the transmission on December 16 & 17, 2024, as follows:
