Company Response to Exchange Observation

Date and Nature of Query

On July 29, 2026, CMI Limited responded to an observation from the BSE Corporate Compliance & Listing Centre and the National Stock Exchange of India regarding the submission format of its Statement of Impact of Audit Qualifications. The exchanges had observed that the statement was not submitted in the format prescribed by SEBI.

Company's Clarification on Submission Format

The company provided a detailed explanation for the non-standard format:

  • The company is currently undergoing the Corporate Insolvency Resolution Process (CIRP) under the Insolvency and Bankruptcy Code, 2016
  • Consequently, the powers of the Board of Directors stand suspended and are exercised by the Resolution Professional
  • The company does not have a Chief Financial Officer, which is one of the required signatories in SEBI's prescribed format
  • The Statement of Impact of Audit Qualifications was signed by Mr. Amit Jain, Suspended Director, upon authorization from the Resolution Professional
  • The Statement was countersigned by both the Resolution Professional and the Statutory Auditor to authenticate the disclosure

Regulatory Compliance Reference

The company specifically references compliance with SEBI requirements, stating it has "complied with the spirit of the SEBI requirement to the extent possible" given the "unique circumstances arising out of the CIRP."
