Subject Matter

Declaration regarding non-applicability of Regulation 23(9) of SEBI (Listing Obligation and Disclosure Requirements) (Amendment) Regulation, 2018 for the half year ended 30th September, 2026.

Exemption Criteria

As per Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the compliance with provisions specified in Regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 and clause (b) to (i) of sub-regulation (2) of Regulation 46 and Para C, D and E of schedule V shall not apply to listed entities on SME exchanges that meet either of two criteria:

• Paid-up equity share capital not exceeding ₹10 crore, or
• Net worth not exceeding ₹25 crore

Company Status

As on 31st March 2026, Defrail Technologies Limited meets both criteria specified under Regulation 15(2).

Declaration

Therefore, compliances under Regulation 23(9) of SEBI (Listing Obligation and Disclosure Requirements) Regulation, 2015 are not applicable to the company. The exchange is requested to take this declaration on record.
