  • July 28, 2026: Order passed by Regional Director (Northern Region), Ministry of Corporate Affairs approving the shift
  • July 29, 2026: Company received the approval order

Regulatory Approval Details

The Regional Director (Northern Region-I), Ministry of Corporate Affairs, New Delhi approved the alteration of Clause-II of the Memorandum of Association for shifting the registered office. The approval was granted based on:

  • No adverse remarks from Registrar of Companies, Uttar Pradesh-I in report dated July 16, 2026
  • Confirmation that no complaints, inquiries, inspections, investigations, or prosecutions are pending against the company
  • Company's filing position is up to date
  • Statutory requirements under Section 13 of Companies Act, 2013 read with Rule 30(9) of Companies (Incorporation) Rules, 2014 are complied with

Conditions of Approval

The approval is subject to two conditions:

1. No employee shall be retrenched as a consequence of shifting the registered office

2. There will be no jurisdictional change in legal proceedings pending against the company on the date of the order

Current Status and Next Steps

The company is in the process of completing necessary filings and intimations with the Registrar of Companies and other statutory authorities to give effect to the change. The Registrar of Companies, Uttar Pradesh-I has been directed to ensure necessary compliances regarding filing of the order.
