Authority: High Court of Judicature at Bombay

Order Date: 21 October 2026

Case Overview

  • The winding‑up of Mafatlal Dyes & Chemicals Ltd. (the "Company") was ordered by the Company Court on 19 July 2010 in Company Petition No. 900 of 2005, filed by Vinyl Chemicals (India) Ltd.
  • The Official Liquidator (OL) filed three reports considered herein: OLR 457 (2014), OLR 380 (2016) and OLR 93 (2026). Earlier OLR 205 (2015) and OLR 53 (2025) were disposed of.
  • Forty‑four paintings by reputed Indian artists were seized by the Crime Branch on 18 January 2014 (panchanama) from the premises of Sheetal Mafatlal; they are referred to as the "Subject Paintings".
  • Five of these (Sr. Nos 2, 9, 12, 14, 17) were identified by Mumbai Police as belonging to the Company and are termed the "Identified Paintings".
  • Competing claims were made by:
  • Sheetal Mafatlal (also known as Sheetal Manhar Bhagat) – claims ownership of all 44 paintings.
  • Yasmin Mohamed Yunus Valibhoy – seeks to intervene only to cross‑examine Sheetal and place criminal proceedings on record.
  • Gayatri Jhaveri – claims ownership of the remaining 39 paintings (the "Remaining Paintings") and is willing to submit evidence.
  • The family dispute originated from criminal complaints (MECR 11 2011, CR 188 2011, etc.) and a settlement dated 2 July 2012 (Consent Terms) that gave Sheetal possession of the art but did not confer title.
  • Sheetal was repeatedly ordered to file an affidavit in lieu of examination‑in‑chief (Dec 2015 order, extensions in 2016, 2023, 2024) but never complied; her sole affidavit filed in 2023 was withdrawn on 1 March 2024.
  • The OL relied on three documentary pillars to identify the five paintings:

1. Asset Register (April‑June 2003) listing the paintings with vendor details.

2. Purchase vouchers dated 16 Jan 1997, 9 Apr 1997, 10 Apr 1997, and 17 Jan 1997.

3. Police Affidavits I (9 Mar 2015) and II (31 Jul 2015) correlating the Asset Register with the Seizure List.

  • The five identified works are:
  • Sr 2 – M.F. Hussain, "Foreigner and Indian Woman on the Dining Table".
  • Sr 9 – M.F. Hussain, "Mother Teresa".
  • Sr 12 – Biren De, "OCT 91".
  • Sr 14 – F.N. Souza, "Woman on Bed".
  • Sr 17 – Jogen Chowdhury, "92".
  • The OL also obtained confirmations from Synergy Art Foundation (sale of two paintings) and other galleries; no contrary evidence was produced by the claimants.
  • The court noted that no civil suit for declaration of title has ever been filed, and criminal proceedings only addressed alleged theft, not ownership.

Final Outcome

  • The court held that the five Identified Paintings belong to the liquidation estate of Mafatlal Dyes & Chemicals Ltd. on a pre‑ponderance of probabilities.
  • OLR 457 is finally disposed of; its remaining prayers are either granted, refused, or overtaken.
  • OLR 380 is also finally disposed of; the court directs that the sale of the Identified Paintings be conducted through an art‑auction expert rather than a standard industrial‑asset auction.
  • Ms. Sonal Singh Naharwar is appointed as the expert to oversee valuation, marketing and auction of the five paintings.
  • OLR 93 is disposed of in accordance with the expert‑led auction mechanism; the Official Liquidator, the expert and counsel R. Carvalho shall prepare the auction terms.
  • Both Sheetal Mafatlal and Gayatri Jhaveri are ordered to deposit Rs 15 lakhs each with the Official Liquidator within four weeks for the upkeep of the Remaining Paintings.
  • No determination is made on the ownership of the Remaining Paintings; the matter remains open for future adjudication.
  • The next hearing is fixed for 20 November 2026.
