Details of Error

The error occurred in Annexure A of the Explanatory Statement accompanying the EGM Notice. Specifically, M/s. Sangli Miraj Commercial Ventures Private Limited (Proposed Allottee), which is part of the Promoter Group of the Company, was inadvertently reflected under the Public Shareholding Category instead of the Promoter and Promoter Group Category. The error is attributed to an inadvertent clerical/compilation error during preparation of the shareholding pattern.

Impact Assessment

The Company clarifies that the error is limited to presentation/classification only and does not affect:

  • The total paid-up share capital of the Company and voting rights attached to Equity shares
  • The aggregate shareholding of the Company or M/s. Sangli Miraj Commercial Ventures Private Limited
  • The outcome or validity of any resolution proposed in the EGM Notice
  • The validity of the notice, proceedings of the Extraordinary General Meeting, or resolutions approved by shareholders
  • Any other material information contained in the EGM Notice

Corrective Action

Since the Extraordinary General Meeting has already been convened and concluded, issuing a corrigendum to the EGM Notice is not feasible. The Company is making this disclosure under Regulation 30 of SEBI (LODR) Regulations, 2015 to maintain transparency and place the corrected shareholding pattern on record.
