Code of Practices & Procedures for Fair Disclosure

Hy-Tech Engineers Limited has framed and implemented a Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (UPSI) as required under Regulation 8(1) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.

Effective Date

The code became effective from February 13, 2025.

Chief Investor Relations Officer Designation

The Chief Financial Officer of the Company or such other senior official nominated by the Company shall be designated as the Chief Investor Relations Officer (CIRO).

CIRO Responsibilities

  • Responsible for dissemination of information and disclosure of UPSI
  • Responding to queries on news reports and requests for verification of market rumors by regulatory authorities
  • In temporary absence of CIRO, the managing director shall nominate another official to handle these responsibilities

Sharing of UPSI for Legitimate Purpose

The code defines "Legitimate Purpose" as sharing of UPSI in the ordinary course of business with partners, collaborators, lenders, customers, suppliers, merchant bankers, legal advisors, auditors, insolvency professionals or other advisors or consultants.

Legitimate purpose includes sharing arising from:

  • Contractual obligations or arrangements
  • Business requirements including corporate actions and business strategies
  • Ensuring operational efficiency
  • Investigation, inquiry or request by statutory or governmental authorities
  • Compliance with applicable laws, regulations, rules and requirements

Disclosure Procedures

  • Prompt public disclosure of UPSI that would impact price discovery
  • Disclosure made by CIRO in consultation with Managing Director/Chairman
  • Disclosure to Stock Exchanges and posting on company website
  • Uniform dissemination to avoid selective disclosure
  • If inadvertent selective disclosure occurs, prompt general disclosure required

Market Rumors Response

  • CIRO shall ensure appropriate and fair responses to queries on news reports and market rumor verification requests
  • Copy of reply to any stock exchange shall be sent to other stock exchanges where company is listed
  • CIRO responsible for deciding whether public announcement is necessary for verifying/denying rumors

Recipient Notification Requirements

Recipients of UPSI must be given notice to:

  • Make them aware that information shared is UPSI
  • Inform them of duties and responsibilities attached to receiving UPSI
  • Instruct them to maintain confidentiality
  • Advise compliance with SEBI PIT Regulations and Company's Code of Conduct

Recipient Responsibilities

Recipients must:

  • Maintain and keep confidential the UPSI received
  • Use UPSI only for Legitimate Purpose
  • Disclose to others strictly on need-to-know basis
  • Safeguard UPSI with adequate care
  • Ensure compliance with PIT Regulations

Digital Database Requirements

  • Structured digital database must be maintained containing nature of UPSI and names of persons/entities with whom information is shared
  • Must include PAN or other authorized identifier where PAN not available
  • Database must have adequate internal controls and checks including time stamping and audit trails
  • Database must be preserved for at least eight years after completion of relevant transactions

Amendment Procedures

  • Statutory amendments in Companies Act 2013 or Regulations are effective even if not incorporated in Code
  • Changes to Code may be made by Compliance Officer in consultation with Managing Director and Chief Financial Officer, subject to board approval within 3 months
  • Code and amendments must be promptly intimated to Stock Exchanges and published on website
