IKIO Technologies Limited filed a regulatory disclosure under Regulation 30 of SEBI (LODR) Regulations, 2015 regarding auditor changes at its three unlisted material subsidiaries: Royalux Lighting Private Limited (RLPL), IKIO Solutions Private Limited (ISPL), and Royalux Exports Private Limited (REPL).
At the respective Annual General Meetings held on June 20, 2026, the subsidiaries appointed M/s Agarwal & Saxena, Chartered Accountants (FRN: 002405C), as Joint Statutory Auditors to work alongside the existing auditor M/s BGJC & Associates LLP, Chartered Accountants (FRN: 003304N/N500056). The stated purpose was to strengthen audit assurance and facilitate timely consolidation of financial statements with the listed holding company.
On July 28, 2026, the company informed that M/s BGJC & Associates LLP had expressed unwillingness to continue as Joint Statutory Auditor and tendered resignation effective July 24, 2026, via letter dated July 24, 2026.
Consequently, M/s Agarwal & Saxena will continue as the Sole Statutory Auditors of all three subsidiaries for the remaining period of their appointment, in accordance with the Companies Act, 2013 provisions.
The resignation letters from BGJC & Associates LLP cited identical reasons across all three subsidiaries: the company failed to serve the statutory notice convening the June 20, 2026 Annual General Meeting to the existing auditor, despite legal entitlement under the Companies Act, 2013. The auditor also stated they were neither informed nor consulted regarding the proposal to appoint joint statutory auditors, which deprived them of the opportunity to exercise their rights as auditor under the Act.
The company has requested BGJC & Associates LLP to provide information and disclosures prescribed under SEBI Master Circular dated January 30, 2026, and will submit the same to stock exchanges upon receipt.
Required disclosures under Regulation 30 of LODR read with SEBI circular no. HO0/49/14/14(7)2025-CFD-POD2/1/3762/2026 dated January 30, 2026 were provided in Annexure-A, confirming the reason for change as resignation with detailed reasons mentioned in the enclosed resignation letter.
