Lorenzini Apparels Limited has made a disclosure pursuant to Regulation 30 read with Schedule III of the SEBI Listing Regulations, 2015 and SEBI Master Circular No. Ho/49/14/14(7)2025-CFD-POD2/I/3762/2026 (last updated January 30, 2026).

Resignation of Statutory Auditor

The Board of Directors at its meeting held on August 11, 2026 noted and accepted the resignation of M/s Mittal & Associates (FRN: 106456W), Chartered Accountants, Mumbai as Statutory Auditors of the Company. The resignation is effective from August 11, 2026.

The reason for resignation, as stated in the auditor's resignation letter dated August 11, 2026, is "due to our pre-occupation in other assignments, we are not in a position to devote our time to the affairs of the Company."

Mittal & Associates was originally appointed as statutory auditors on September 20, 2023, with their term scheduled to expire at the 16th Annual General Meeting of the Company for financial year 2027-28 in the year 2028. The auditor confirmed they had submitted the latest audit report/limited review report prior to resignation.

The Annexure-A disclosure confirms that there were no concerns raised by the auditor prior to resignation, no inability to obtain sufficient appropriate audit evidence due to management-imposed limitations, and no other material reasons for resignation beyond those provided.

Appointment of New Statutory Auditor

Pursuant to Section 139 and other applicable provisions of the Companies Act, 2013, the Board of Directors at its meeting held on August 11, 2026, based on the recommendation of the Audit Committee, approved the appointment of M/s A D M S & Associates (FRN: 123456W), Chartered Accountants as the new Statutory Auditors of the Company.

This appointment is to fill the casual vacancy caused by the resignation of M/s Mittal & Associates and is effective from August 11, 2026, subject to approval of shareholders at the ensuing General Meeting of the Company.

M/s A D M S & Associates is described as "a professional firm providing comprehensive accounting, auditing, taxation, and financial advisory services" that "serves businesses, professionals, individuals, and other organizations with a focus on quality and timely service." The firm has confirmed its eligibility for appointment under Section 139 of the Companies Act, 2013 and stated there are no pending proceedings against them or any of their partners with respect to professional matters of conduct.
