Majestic Research Services and Solutions Limited has submitted a clarification and re-submission to BSE Limited regarding the classification of its disclosure about the extension of its Annual General Meeting (AGM) for the financial year ended 31st March, 2026.
The company clarifies that its earlier intimation regarding the AGM extension was inadvertently submitted under Regulation 30A of the SEBI Listing Regulations due to a clerical/technical oversight on the BSE listing portal. The company states that the matter correctly falls under Regulation 30 (read with Para A of Part A of Schedule III) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Pursuant to the approval of the Board of Directors via Board Resolution dated 27th October, 2026, the company submitted an application to the Registrar of Companies (ROC), Karnataka, seeking an extension of time for convening the AGM for FY 2025-26.
The ROC, Karnataka, vide its approval letter/order dated 04th November, 2026, has granted an extension of three (3) months, allowing the company to conduct its AGM for FY ended 31st March, 2026 on or before 31st December, 2026. The ROC application was made vide SRN AC7194132 on 27th October, 2026.
The ROC order states that the company closed its accounting year on 31/03/2026 and the AGM was due to be held on 30/09/2026 as per requirements of section 96 of the Companies Act, 2013. The extension was granted keeping in view the circumstances stated in the application due to which the company could not hold its Annual General Meeting on time. The ROC advised the company to be careful in future compliance with the provisions of the Companies Act, 2013.
The company will convene its AGM within the extended timeline and will intimate the specific date, time, and venue/mode of the AGM to the exchange in due course. A copy of the AGM extension approval letter from ROC, Karnataka is enclosed with the submission.
