The Board approved the appointment of M/s. DMKH & Co., Chartered Accountants, as the Tax Auditor of the Company to conduct the Tax Audit for the Financial Year 2025-26 (Assessment Year 2026-27).

2. Grant of No Objection / Consent for Dual Directorship of Managing Director

The Board unanimously granted no-objection and consent for Mr. Rahul Agrawal (DIN: 06532413), Managing Director of the Company, to accept and hold the position of Managing Director on the Board of M/s. Shri Satguru Agromills Private Limited (CIN: U15400MP2022PTC062852). This approval is pursuant to Section 203(3) of the Companies Act, 2013.

  • Relationship Disclosure: Mr. Rahul Agrawal is not related to any other Director or Key Managerial Personnel (KMP) of the Company, except Mr. Rohit Agrawal, Director.
  • Inter-se Relationship: The private company is a Related Party under Regulation 23. Any commercial dealings shall be subject to Audit Committee approval on an arm's length basis.
  • Debarment Status: Mr. Rahul Agrawal is not debarred from holding the office of Director by any SEBI order or other authority.

3. Authorization of Bank Signatories

The Board approved the authorization of the following individuals as Authorized Signatories to operate bank accounts, execute banking operations, sign cheques, and initiate RTGS/NEFT/electronic transfers and all other related banking transactions for and on behalf of the Company:
