Contractual Status
The existing distribution arrangement/agreement with the Proximo Group remains valid and in force as of August 8, 2026. The Proximo Group comprises Proximo Spirits, Inc., Casa Cuervo, S.A. de C.V., Crista La Santa, S.A.P.I. de C.V. and JC Master Distribution Limited.
Historical Context
The Company has been associated with the Proximo Group since 2018 pursuant to the distribution arrangement for distribution of its products and brands including José Cuervo, 1800, Reserva de la Familia, Maestro Dobel, Gran Centenario, Creyente, 400 Conejos, Kraken, Bushmills, The Sexton and Boodles, and related products across agreed territories.
Current Status
As of the disclosure date (August 8, 2026), the Company has not received any communication from the Proximo Group indicating any cessation of the existing distribution arrangement.

The Company will take all appropriate steps and pursue all remedies available under applicable law and contractual arrangements to protect its interests and rights.
