Termination of Investment Agreements with Maverick Media

Mukta Arts Limited has mutually agreed to terminate all agreements related to the proposed investment by Maverick Media Private Limited in its subsidiary Mukta A2 Cinemas Private Limited (formerly Mukta A2 Cinemas Limited). The termination was executed through Consent Terms dated 15th September 2026 due to unresolvable differences between the parties.
The terminated Transaction Documents include:
- Binding Term Sheet dated 28th February 2024
- Securities Subscription Agreement executed on 7th August 2024
- Shareholders Agreement executed on 7th August 2024
Parties to the agreements were Mukta Arts Limited, Mukta A2 Cinemas Private Limited, Maverick Media Private Limited, and Mr. Rajiv Malhotra.
The termination is effective from the Share Transfer Date as per the Consent Terms. The company has specifically stated that this termination does not have any material adverse impact on the operations, revenue, or business of Mukta Arts Limited.
