Regulatory Compliance Disclosure

Naga Dhunseri Group Limited has issued a compliance notice to its physical security holders, mandated by SEBI Circulars. The notice is based on SEBI/HO/MIRSD/MIRSD_RTAMB/P/C/R/2021/655 dated November 03, 2021, SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2023/37 dated March 16, 2023, SEBI/HO/MIRSD/POD-1/P/CIR/2024/81 dated June 10, 2024, and a further SEBI directive dated January 17, 2024.

The core requirement is that all holders of physical securities must furnish the following mandatory details to the company's Registrar and Share Transfer Agent (RTA), M/s. Maheshwari Datamatics Pvt. Ltd.:

  • PAN
  • Address
  • Email Id
  • Mobile number
  • Bank account details
  • Specimen Signature
  • Nomination details (optional for dividend receipt, but KYC and PAN are mandatory)

Consequence of Non-Compliance

Effective April 01, 2024, security holders with folios that do not have the updated details will only be eligible to receive any payment (including dividend, interest, or redemption) through electronic mode, and only after furnishing all the required details.

Submission Process

Security holders are advised to submit duly completed forms. The required forms are:

  • ISR 1 (Mandatory)
  • ISR 2 (Mandatory)
  • Either ISR 3 or SH-13 or SH-14 (as per the holder's choice)

Documents must be submitted with the signature of the holders attested by their banker, along with a cancelled cheque leaf bearing the holder's name, account number, and IFSC code. If the name is not printed on the cheque, a bank-attested copy of a passbook or bank statement showing the name, account number, and IFSC code is required.
