Nam Securities Limited has submitted a letter to the Bombay Stock Exchange (BSE) stating that the requirement to submit an Annual Secretarial Compliance Report for the financial year ended March 31, 2026, is not applicable to it.
The basis for this non-applicability is Regulation 15(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with BSE Circular No. LIST/COMP/10/2019-20 dated May 9, 2019. This regulation exempts listed entities from certain corporate governance provisions, including the submission of the Secretarial Compliance Report under Regulation 24A, if they meet one of two criteria:
- A listed entity having a paid-up equity share capital not exceeding ₹10 crore and a net worth not exceeding ₹25 crore, as on the last day of the previous financial year.
- A listed entity which has listed its specified securities on an SME exchange.
The company certified that as of March 31, 2026, its paid-up capital was ₹5.39 crores and its net worth was ₹11.48 crores. Since both figures are below the respective thresholds stipulated in Regulation 15(2)(a), the company qualifies for the exemption.
