Issues / Allegations / Violations
The appeal challenged the NCLT Indore Bench order that allowed an Extraordinary General Meeting (EGM) to be conducted for all agendas except one relating to the removal of Anil Salhotra from the Board of Directors. The NCLT had restricted the appellant from taking any decision regarding Salhotra's removal and directed that the composition of the Board of Directors should not be disturbed until the next hearing date of 30.06.2026.
Findings & Observations
The NCLAT disposed of the appeal without examining the merits of the case, keeping the contentions of both parties open. The tribunal noted that the NCLT had allowed the EGM for all agendas except the removal of director Anil Salhotra.
Final Ruling & Enforcement
The NCLAT disposed of the appeal and requested the NCLT to take up the matter on 30.06.2026 specifically on the issue of director removal. The tribunal directed the NCLT to hear arguments and dispose of this issue as expeditiously as possible, preferably within two weeks from 30.06.2026 (by mid-July 2026). The tribunal also directed that all pleadings must be completed prior to the hearing date. All pending interlocutory applications (I.A. No. 4072, 4073 & 4074 of 2026) were also disposed of.
