Authority: National Company Law Tribunal, Chandigarh Bench (Court – II) (Vacation Bench)
Order Date: 23.06.2026
Case Overview
The National Company Law Tribunal (NCLT) Chandigarh heard a cluster of applications connected to Company Petition (CP) No. 48/Chd/Hry/2026. The petition was filed by Mr. Ankur Agarwal under Sections 241-242 & 244(1) of the Companies Act, 2013, alleging oppression and mismanagement at Sumantra Tech Services Private Limited (Respondent No.1), where he holds a 17.06% shareholding (8,828 equity shares).
Three connected Company Applications were also heard:
- COMP.APPL/96(CH)2026: An application filed by Mr. Agarwal under Rule 11 of the NCLT Rules, 2016, to set aside a termination letter dated 05.06.2026 issued by Sumantra Tech. The letter terminated his services as Chief Technology Officer (CTO), a position he held since 01.01.2016. He contends this action was arbitrary and prejudicial, occurring on the same day he filed the main company petition.
- COMP.APPL/97(CH)2026: An application seeking a stay of a Board Meeting scheduled for 25.06.2026. The applicant alleged that two individuals (Respondent Nos. 4 & 5) were illegally appointed as Additional Directors in a Board Meeting on 19.02.2026. He claimed no notice of this meeting was served on him, despite being a director. Supporting this, an email from another director, Respondent No.3, stated she had not attended any such meeting. The applicant argued that with only three directors at the time (Applicant, R2, R3), a valid meeting could not have been constituted without his and R3's knowledge to make these appointments.
- COMP.APPL/98(CH)2026: An application for an early hearing of the main CP, which was rendered infructuous as the matter was already listed for hearing.
Final Outcome
The Tribunal issued notice on the main Company Petition (CP No. 48/Chd/Hry/2026) and on Company Applications COMP.APPL/96/2026 and COMP.APPL/97/2026. Replies are to be filed within two weeks, followed by rejoinders within one week. The matter is listed for the next hearing on 23.07.2026.
For COMP.APPL/97/2026, the Tribunal issued specific interim directions. It allowed the scheduled Board Meeting on 25.06.2026 to proceed and permitted the applicant to participate. However, it restrained Respondent Nos. 4 and 5 (the newly appointed Additional Directors) from attending or participating in this or any subsequent board meeting until the next date of hearing. Counsel for the respondents agreed to this direction. Application COMP.APPL/98/2026 was disposed of as infructuous.
