Case Overview

The Registrar of Companies (ROC), West Bengal filed a petition under Section 271(e) of the Companies Act, 2013 seeking winding up of Topline Investment Consultants Private Limited (CIN: U74999WB2010PTC153381). The Ministry of Corporate Affairs had directed an inspection of the company, and the Regional Director (Eastern Region) issued a notice on 06.12.2022 under Section 272(3) asking why the company should not be wound up. No reply was received from the company or its directors (Indu Devi Shaw and Narendra Singh).

The Tribunal had previously directed service of the amended petition (08.02.2024) and publication of advertisements in two newspapers - The Times of India (English) and Ei Samay (Bengali) on 24.01.2025 (09.08.2024 order). Despite proper publication and service, no one came forward to oppose the winding up petition. The Tribunal found that all statutory formalities were complied with and determined it would be just and equitable to wind up the company.

Final Outcome

The Tribunal admitted the petition and ordered the winding up of Topline Investment Consultants Private Limited under the Companies Act, 2013. The Official Liquidator attached to the Calcutta High Court was appointed as Company Liquidator with extensive duties including: taking custody of all company properties; preserving and protecting company assets; examining statements of affairs; recovering company assets; reviewing audit reports; selling assets; finalizing lists of creditors and contributories; compromising claims; and paying dividends if any.

The order prohibits any new legal proceedings against the company without Tribunal leave. The Liquidator must file a declaration of conflict of interest within 7 days, a provisional list of contributories within 21 days, and periodic reports including Form WIN 10 and Form 16 reports. An Advisory Committee will be formed under Section 287. The matter is listed next on 14th August, 2026 for filing of periodical reports.
