Nitco Limited has submitted a disclosure to the stock exchanges pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and in accordance with SEBI Circular no. SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026.

The disclosure concerns an order received by the company from the Pollution Control Committee, Dadra & Nagar Haveli and Daman & Diu. The order, received on April 13, 2026, directed the company to pay an Environmental Compensation of ₹14,25,000 (Rupees Fourteen Lakh Twenty-Five Thousand only). The payment was to be made payable at Silvassa within seven days from the date of the order. The compensation was levied for alleged non-compliance with environmental standards.

The company duly paid the full Environmental Compensation amount on April 28, 2026.

The company acknowledges that this disclosure was made with a delay. The initial disclosure was made via a separate letter (reference no. NITCO/SE/2026-27/22) on July 23, 2026. The delay was attributed to the company's initial interpretation that disclosure requirements under Regulation 30 did not apply to orders issued by the Pollution Control Committee. Upon further review and consultation with corporate advisors, and considering relevant SEBI circulars, the company decided to make the disclosure.

Regarding the impact, the company states that the financial impact is limited to the penalty amount of ₹14,25,000 that has already been paid. The company further clarifies that there is no material impact on its operations or other activities.
