Niyogin Fintech Limited submitted an intimation to BSE Limited regarding the summary of proceedings of the meeting of secured creditors convened pursuant to the Order of the Hon'ble National Company Law Tribunal (NCLT), Chennai Bench dated September 11, 2026.

The meeting was held on Friday, October 30, 2026 at 11:30 a.m. IST through video conferencing/other audiovisual means in accordance with the Companies Act 2013, relevant Rules, Secretarial Standards, and circulars issued by the Ministry of Corporate Affairs and SEBI.

Meeting Proceedings

The meeting was chaired by Shri Kuldeep Karir, who was appointed by the Hon'ble NCLT as the Chairperson for the meeting. The Company Secretary welcomed the members and explained procedural details.

The remote e-voting period commenced on Monday, October 26, 2026 from 09:00 A.M. IST and ended on Thursday, October 29, 2026 at 05:00 P.M. IST.

Agenda Item

The sole agenda item was to consider and approve the Composite Scheme of Arrangement between:

  • Niyogin Fintech Limited (Demerged Company/Amalgamating Company)
  • Niyogin Finserv Limited (Resulting Company)
  • iServeU Technology Private Limited (Amalgamated Company)

and their respective shareholders and creditors under Sections 230 to 232 read with Section 66 and Section 52 and other applicable provisions of the Companies Act, 2013.

Voting Arrangements

Advocate Udit Jain was appointed as the Scrutinizer to scrutinize the voting through electronic means (remote e-voting and e-voting at the meeting). Secured creditors who did not cast votes through remote e-voting were permitted to cast votes during the meeting through e-voting facility provided by the company. The e-voting facility remained open for 15 minutes post the conclusion of the proceedings.

Outcome Disclosure

The e-voting results along with the Scrutinizer's Report will be made available on the Company's website and on the website of Niyogin Fintech Limited within prescribed timelines, and will also be displayed on BSE Limited's website where the company's shares are listed.

The meeting concluded at 11:56 A.M. IST upon completion of the e-voting process.
