Nukleus Office Solutions Limited submitted a voluntary clarification to BSE Limited under SEBI Regulation 30 regarding an observation made by auditors in their Limited Review Report for the half year ended September 30, 2026, which was filed on October 31, 2026.

The auditors' observation (Note/Para 4) stated that during FY 2025-26, the company completed fit-out work for its Bangalore Centre but could not make it operational or onboard customers due to unresolved issues with the landlord. The opening balance of this expenditure was ₹550.33 lakhs as of April 1, 2026. During the period ended September 30, 2026, further additions of ₹155.69 lakhs were made, resulting in a total Capital Work-in-Progress (CWIP) balance of ₹706.02 lakhs as of September 30, 2026. Accordingly, this expenditure was not capitalized in accordance with the recognition principle of AS-10.

The company clarified that:

  • The fit-out work at the Bangalore Centre is complete.
  • The issues with the landlord have been resolved after the balance sheet date (September 30, 2026).
  • The company has commenced client onboarding at the Bangalore Centre, with approximately 66% of the centre's capacity already occupied.
  • The company is in advanced discussions with prospective clients for additional onboarding, expected to result in a further occupancy of approximately 10–20% by the end of November 2026.

As the centre is now ready for its intended use and operations have commenced, the company will capitalize the CWIP of ₹706.02 lakhs, together with any further eligible expenditure, from the date the asset is ready for use. Depreciation will begin from that date in accordance with AS-10 and the company's accounting policy.

The company stated that this clarification does not affect the audited/reviewed figures already filed or the Auditor's Report. It is a voluntary disclosure to provide investors with a complete picture of the current status. The company will keep the exchange informed of any material developments in this matter.
