Background of the Scheme
Pursuant to the Composite Scheme of Arrangement sanctioned by the Hon'ble National Company Law Tribunal, Mumbai and Bengaluru Benches, the Board of Directors of Quess Corp Limited on December 09, 2019 allotted 7,14,56,240 equity shares of face value ₹10 each, fully paid-up, to the eligible equity shareholders of Thomas Cook (India) Limited as on December 06, 2019 (Record Date). The allotment ratio was 1,889 equity shares of Quess Corp for every 10,000 equity shares of ₹1 each held in TCIL.
Current Status of Unclaimed Funds
In accordance with the Scheme, fractional entitlements arising from this allotment were consolidated and sold, and the net sale proceeds were distributed to eligible shareholders. The amount remaining unpaid/unclaimed is held in a separate bank account of the Company titled "Quess Corp Limited Demerger Scheme".
Regulatory Requirement
Under Section 125(2)(l) of the Companies Act, 2013 read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016, sale proceeds of fractional shares arising out of a merger or amalgamation that remain unpaid/unclaimed for seven years or more are required to be credited to the Investor Education and Protection Fund (IEPF).
Claim Deadline
Shareholders must claim their unpaid/unclaimed sale proceeds on or before December 20, 2026 to avoid transfer to the IEPF. After transfer to IEPF, claims can only be made by filing Form IEPF-5 with the IEPF Authority.

Required Documentation
For shares held in electronic mode: Updated Client Master List.
For shares held in physical mode: Self-attested copies of PAN and Aadhar of all shareholders; Original cancelled cheque leaf bearing the name of the sole/first shareholder (or bank-attested copy of passbook/bank statement); Self-attested additional address proof not older than three months; Forms ISR-1, ISR-2, and ISR-3 or SH13 duly filled and signed for shareholders whose KYC is not updated.
Bank Details Requirement
Applicants must provide complete bank details including account holder's name, bank name and branch, account number, account type (Savings/Current), IFSC code, and MICR code.
Indemnity Undertaking
Shareholders must undertake to indemnify the Company and the RTA against all claims, costs, expenses, losses and damages that may be incurred by them in consequence of the payment.
