Rajasthan Cylinders and Containers Limited has submitted a regulatory filing to BSE Limited declaring exemption from the requirement to disclose Related Party Transactions for the half year ended 30th September, 2026.
The exemption is claimed under Regulation 15(2) of Chapter IV of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, which states that Regulation 23 (including sub-regulation 9) does not apply to listed entities having paid-up equity share capital not exceeding ₹10 crore and net worth not exceeding ₹25 crore as on the last day of the previous financial year.
The company confirms that as on 31st March 2026:
- Paid-up equity share capital: ₹3,36,15,950
- Net worth: ₹14,12,49,481.05
These figures place the company within the exemption criteria (a) of Regulation 15(2), as both the paid-up capital (₹3.36 crore) and net worth (₹14.12 crore) are below the prescribed thresholds of ₹10 crore and ₹25 crore respectively.
Consequently, the company states that compliance with Regulation 23 of the Listing Regulations, including the requirement to submit disclosures of Related Party Transactions under Regulation 23(9), is not applicable to them.
The disclosure is signed by Neha Dusad, Company Secretary and Compliance Officer (Membership Number: A55093), and digitally dated 05 November 2026.
