Regulatory and Policy Measures
The Reserve Bank of India, by an order dated August 11, 2026, imposed a monetary penalty of ₹1.80 lakh (Rupees One Lakh and Eighty Thousand only) on Valuefin India Credit Services Private Limited (the company). The penalty arises from the company's non‑compliance with RBI directions concerning the acquisition of shareholding or control. Specifically, the company failed to obtain prior written permission from the RBI for a change in shareholding that exceeded 26 per cent of its paid‑up equity capital.
RBI issued a show‑cause notice to the company, inviting it to explain why the penalty should not be imposed. After considering the company's written reply and oral submissions made during a personal hearing, RBI sustained the charge and imposed the monetary penalty. The action is exercised under the powers conferred by Section 58G(1)(b) read with Section 58B(5)(aa) of the RBI Act, 1934.
The RBI clarified that this penalty is based solely on deficiencies in regulatory compliance and does not comment on the validity of any transaction or agreement entered into by the company with its customers. Furthermore, the imposition of the penalty is without prejudice to any other action that the RBI may initiate against the company in the future.
In conclusion, the RBI has reinforced its regulatory framework by penalising Valuefin India Credit Services Private Limited for breaching shareholding approval norms, underscoring the importance of prior RBI permission for significant equity changes.
