Board Meeting Outcomes
This disclosure provides an update regarding the Composite Scheme of Amalgamation and Arrangement involving Refex Green Mobility Limited (Transferor Company/RGML), Refex Industries Limited (Transferee Company/Demerged Company/RIL), and Refex Mobility Limited (Resulting Company/RML).
Legal / Strategic Updates
The Hon'ble National Company Law Tribunal (NCLT), Chennai Bench, issued an order dated June 18, 2026 (uploaded on the NCLT website around 3:30 PM IST on June 24, 2026). The order directs the following meetings to be convened for considering and approving the proposed Scheme:
- Meeting of Secured Creditors of RGML: Wednesday, August 5, 2026, at 10:00 AM IST at RGML's registered office or via video conferencing
- Meeting of Unsecured Creditors of RGML: Wednesday, August 5, 2026, at 10:30 AM IST at RGML's registered office or via video conferencing
- Meeting of Equity Shareholders of RIL: Wednesday, August 5, 2026, at 11:00 AM IST at RIL's registered office or via video conferencing
- Meeting of Secured Creditors of RIL: Wednesday, August 5, 2026, at 11:30 AM IST at RIL's registered office or via video conferencing
- Meeting of Unsecured Creditors of RIL: Wednesday, August 5, 2026, at 12:00 PM IST at RIL's registered office or via video conferencing
The NCLT has dispensed with the requirement to convene meetings of:
- Equity Shareholders of RML
- Equity Shareholders of RGML
Additionally, since there are no Secured or Unsecured creditors in RML, no creditor meetings for RML are required.
The Scheme remains subject to applicable regulatory and other approvals. A certified copy of the NCLT order is awaited.
