Key Requirements and Rationale

The action is mandated by SEBI Master Circular No. HO/38/13/(4)2026-MIRSD-POD/l/4298/2026 dated February 06, 2026, read with SEBI Circular No. SEBI/HO/MIRSD/POD-1/P/CIR/2024/81 dated June 10, 2024. The mandatory details required for updation are:

  • Valid PAN linked with Aadhar
  • Postal Address with PIN code
  • Mobile Number
  • Bank account details
  • Signature (in case of change)

Registration of Email ID and Nomination is optional but encouraged.

Submission Process

Shareholders are requested to submit self-attested details/documents using the following prescribed forms to the company's Registrar and Transfer Agent (RTA), Bigshare Services Private Limited:

  • ISR-1: For details like PAN, Address, Email, Mobile, Bank details
  • ISR-2: For change in signature
  • SH-13: For Nomination Registration
  • SH-14: For Cancellation or variation of Existing Nomination
  • ISR-3: Declaration to opt-out of nomination

These forms are available on the company's website (https://www.rubymills.com/) and the RTA's website (www.bigshareonline.com).

Documents can be submitted physically to the RTA's office at: S6-2, 6th Floor, Pinnacle Business Park, Next to Ahura Centre, Mahakali Caves Road, Andheri East, Mumbai : 400093. Alternatively, they can be e-mailed (duly e-signed/digitally signed) to investor@bigshareonline.com.

Change in Payment Method for Corporate Benefits

Pursuant to an SEBI advisory email dated 17th January, 2024, all corporate benefits such as dividend, interest, and redemption amounts will be paid through electronic mode only. No payments will be made through physical instruments.

Online Dispute Redressal Mechanism

The letter references SEBI circular no. SEBI/HO/OIAE/OIAEIAD-1/P/CIR/2023/131 dated July 31, 2023, and its corrigendum (ref. no. SEBI/HO/OIAE/OIAEIAD-1/P/CIR/2023/135) dated August 4, 2023, which introduced a common Online Dispute Resolution (ODR) mechanism for resolving grievances in the securities market.
