Regulatory Compliance Disclosure:

  • Shiprocket Limited has framed and adopted a Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (UPSI) pursuant to Regulation 8(1) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
  • The code has been submitted to BSE Limited and National Stock Exchange of India Limited as required under Regulation 8(2) of the SEBI PIT Regulations.
  • The code has been uploaded on the Company's website at www.shiprocket.in.

Code Structure and Key Provisions:

  • Chief Investor Relations Officer (CIRO): A senior officer designated to be responsible for dissemination of information and disclosure of UPSI, ensuring compliance with continuous disclosure requirements.
  • Prompt Public Disclosure: UPSI shall be disclosed to stock exchanges and disseminated promptly on a continuous basis as soon as credible and concrete information comes into being.
  • Uniform Dissemination: UPSI shall be disseminated uniformly to all stakeholders through stock exchanges and the company website to avoid selective disclosure.
  • Response Procedures: Established procedures for responding to queries on news reports and verification of market rumors from regulatory authorities, with replies to be signed by CIRO, CFO, Head of Public Relations, Compliance Officer, or other authorized persons.
  • Analyst Interactions: Only public information to be provided to analysts, research personnel and institutional investors, or any UPSI shared must be simultaneously made public. Company representatives should be present at meetings, discussions should be recorded, and transcripts disseminated on the website.
  • Need to Know Basis: UPSI shall be handled on a "need to know" basis, disclosed only to those within the Company who need it to discharge official duties or legal obligations, subject to Chinese walls.
  • Legitimate Purpose Determination: The determination of 'legitimate purposes' for communication or procurement of UPSI under Regulation 3 shall be made by the Board or Authorised Personnel based on Operating Guidelines attached as Annexure A.

Operating Guidelines for UPSI Sharing (Annexure A):

  • Scope: Covers sharing UPSI in ordinary course of business with partners, collaborators, lenders, distributors, customers, suppliers, merchant bankers, legal advisors, insolvency professionals, or other advisors/consultants.
  • Exclusions: Does not cover sharing with Auditors of the Company (separate process) or with stock exchanges, judicial/quasi-judicial/regulatory authorities, or government departments.
  • Determination Factors: Legitimate purpose determined case-by-case based on nature/extent of UPSI, purpose, necessity, company/shareholder interests, and external circumstances.
  • Request Process: Requires detailed submission including assignment particulars, nature of UPSI, rationale, and complete details of all recipients (name, address, email, PAN/Aadhaar, contact numbers).
  • Confidentiality Measures: Mandatory notice to recipients (Annexure I-A format) making them aware of UPSI nature and liabilities for misuse. May require execution of Non-Disclosure Agreements in exceptional circumstances.
  • Information Sharing Controls: UPSI to be shared only on specific drives created for the purpose, or via password-protected email with controls. Virtual data rooms may be required in exceptional circumstances.
  • Digital Database: Maintenance of digital database with time-stamping and audit trails containing recipient details and date of UPSI sharing.
  • Governance: Authorised Officer responsible for compliance, deviations reported to Audit Committee, exceptions require Board approval, and guidelines subject to annual review by Audit Committee.

Confidentiality Notice (Annexure I-A):

  • Recipients acknowledge information is UPSI, highly sensitive and confidential.
  • Information shared for legitimate purpose only, Company retains exclusive ownership.
  • Recipients must return/destroy UPSI if engagement terminates.
  • Recipients become Designated Persons subject to company codes and trading restrictions.
  • UPSI may be used only for approved purposes.
  • Company makes no representations about UPSI accuracy/completeness.
  • Confidentiality obligation continues until information made generally available by Company or authorities.
  • Recipient indemnifies Company against all costs from UPSI leakage/disclosure.
  • Indemnification includes liability for punitive damages.
  • Notice governed by Indian law, Delhi courts have exclusive jurisdiction.
