Shoora Designs Limited ("the Company") has submitted a formal declaration to BSE Limited's Department of Corporate Services regarding exemption from certain SEBI listing compliance requirements.
The Company is listed on the SME platform of BSE Limited and invokes Regulation 15(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. This regulation exempts SME-listed entities from compliance with corporate governance provisions specified in:
- Regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27
- Clause (b) to (i) and (t) of sub-regulation (2) of Regulation 46
- Para C, D, and E of Schedule V
Specifically, the Company confirms that its paid-up equity share capital and net worth do not exceed the prescribed thresholds specified under Regulation 15(2)(b) of the SEBI LODR Regulations, 2015. Consequently, the provisions relating to Related Party Transactions under Regulation 23 are not applicable to the Company.
The Company affirms it will continue to comply with other applicable listing compliance requirements.
