Sical Logistics Limited has concluded the remote e-voting process for its Postal Ballot Notice dated July 30, 2026. The voting concluded on September 04, 2026 at 05:00 p.m. IST.

The Board of Directors of the Company, at its meeting held on July 30, 2026, approved the Postal Ballot Notice seeking member approval through remote e-voting for three resolutions:

  • Resolution no. 1: Ordinary Resolution to approve material related party transactions between the Company and Sical Multimodal and Rail Transport Limited, being the step-down material subsidiary company of the Company
  • Resolution no. 2: Special Resolution to approve the creation of mortgage on the land and building of Sical Multimodal and Rail Transport Limited, being the step-down material subsidiary company of the Company
  • Resolution no. 3: Ordinary Resolution to approve material related party transactions between the Company and Pristine Malwa Logistics Park Private Limited, being the immediate holding company of the Company

The Company engaged Central Depository Services (India) Limited (CDSL) for facilitating remote e-voting and appointed M/s. KRA & Associates, Company Secretaries (Firm Registration Number P2020TN082800) as Scrutinizer to conduct the Postal Ballot process.

The cut-off date for determining members eligible to vote was Friday, July 31, 2026. The Postal Ballot Notice was sent only through electronic mode to members whose email addresses were registered with the Company/Registrar and Share Transfer Agent (Cameo Corporate Services Limited)/Depositories (NSDL and/or CDSL).

The Postal Ballot Notice was dispatched to members through electronic mode on August 03, 2026. Publication about the same was made in Business Standard (English language) and Makkal Kural (Tamil vernacular language) on August 04, 2026.

The remote e-voting commenced on Thursday, August 06, 2026 at 09:00 a.m. IST and concluded on Friday, September 04, 2026 at 05:00 p.m. IST. The e-voting facility was disabled by CDSL immediately after 05:00 p.m. IST on September 04, 2026.

The Scrutinizer will submit a report on the remote e-voting after completion of scrutiny, based on which the Company will declare the voting results. The voting results along with the Scrutinizer's report will be submitted to the stock exchanges within prescribed timelines and made available on the Company's website (https://sical.in/) and CDSL's website (www.evotingindia.com).
