Regulatory Compliance Disclosure

SMS Pharmaceuticals Limited has dispatched reminder letters on 22nd July 2026 to shareholders who have not claimed their dividends for seven or more consecutive years, pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

IEPF Transfer Process

  • Shares are liable for transfer to the IEPF Authority under Section 124(6) of the Companies Act, 2013 read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016
  • Unpaid/unclaimed dividends for financial years 2018-2019 through 2024-2025 are subject to transfer
  • Unpaid dividends prior to FY 2018-2019 have already been transferred to IEPF or Central Government

Shareholder Action Required

  • Shareholders must claim dividends by making application in attached form along with KYC documents and undertaking form ISR-1
  • Deadline for submission: 25th October 2026
  • Applications must be sent to Aarthi Consultants Pvt. Ltd., Registrar and Transfer Agents of the Company

Share Transfer Consequences

  • Failure to claim dividends by deadline will result in transfer of all shares (physical or electronic form) to IEPF Account
  • Physical shares transferred per General Circular No. 07/2017 dated 5th June 2017
  • Demat shares transferred via corporate action with depository
  • No claims shall lie against the Company after transfer to IEPF Authority

Claim Process After Transfer

  • Shareholders can claim from IEPF Authority using Form IEPF-5 online
  • Physical copy of Form IEPF-5 must be sent to Company or RTA for verification
  • Only one request can be made per year

KYC Compliance Requirements

  • Members must furnish/update PAN, KYC details, contact details, bank account details, nomination, and specimen signature
  • Required as per SEBI Master Circular dated February 06, 2026
  • Outstanding dividends will be credited only if folio is KYC compliant and nomination details registered
  • For physical shares: Submit Forms ISR-1, ISR-2, ISR-3/SH-13 with supporting documents including original cancelled cheque
  • For demat shares: Submit attested copy of Client Master List
  • Dividend will be remitted to bank account registered against demat account
