Company’s Clarification on Submission Timing
The company clarifies the timing of its regulatory filings for the board meeting held on August 25, 2026:
- The Outcome of the Board Meeting was successfully uploaded on the BSE stock exchange at 9:06:59 PM within the prescribed due time period.
- The same filing was uploaded on the NSE at 9:51:27 PM.
- The company attributes this 45-minute delay on the NSE platform to a technical issue on the NSE website, stating it was neither intentional nor deliberate and was beyond the control of the concerned division. A screenshot of the error encountered is enclosed with the submission.
Details of Financial Results Submission
The company provides the following details regarding its financial results submissions:
- The Integrated Filing (XBRL) for the Annual Audited Financial Results for the year ended March 31, 2026 and the Unaudited Standalone Financial Results for the quarter ended June 30, 2026 was successfully uploaded on both BSE and NSE by 8:04 PM on the due date, well within the timeline.
- The company's 663rd Board Meeting held on August 25, 2026 considered and approved only the Unaudited (Standalone) Financial Results for the quarter ended June 30, 2026.
- The Consolidated Financial Results for the quarter ended June 30, 2026 were not considered or approved by the Board and were therefore not submitted. This was because the necessary results were not submitted by the company's subsidiary, STCL.
- The date for a board meeting to consider these unaudited consolidated results will be intimated in due course.
Reference to Regulatory Compliance
The company states that it has always adhered to prescribed timelines for such compliances and shall continue to ensure timely compliance with applicable requirements in the future. It requests that the delay in uploading the board meeting outcome to the NSE be condoned.
