The application was a Transfer Application seeking the transfer of Company Application bearing no. C.A.(CAA)/46(CHE)/2026 from the NCLT, Chennai Bench to the NCLT, Chandigarh Bench. The application was filed under Sections 230-232 of the Companies Act, 2013, concerning a Composite Scheme of Arrangement.
Findings & Observations
The Learned Counsel for the Applicant submitted that a separate First Motion Application (No. C.A.(CAA) 16/CHD/HRY/2026) for the same Composite Scheme had already been preferred by the Transferee Company before the NCLT, Chandigarh Bench, as the registered office of the Transferee Company is in Haryana. Orders on that application were reserved by the Chandigarh Bench on 07.05.2026.
It was further submitted that the Board of Directors of the companies involved had approved and adopted the Composite Scheme of Arrangement in their respective Board meetings held on 11.03.2026.
The primary argument for transfer was that moving the application to Chandigarh would ensure consistent adjudication of common issues and protect the interests of common stakeholders.
Final Ruling & Enforcement
After hearing the submissions and perusing the application, the Tribunal allowed the transfer application. Company Application C.A. (CAA)/46(CHE)/2026, which was pending before the Chennai Bench, was ordered to be transferred to Court-II of the NCLT, Chandigarh Bench. The transfer application (TA (Co. Act) 16(PB)/2026) was disposed of as allowed.
