Syschem (India) Limited disclosed the outcome of its postal ballot process conducted in compliance with Regulation 30 of SEBI (LODR) Regulations, 2015. The members of the Company did not approve the resolutions set out in the Postal Ballot Notice dated 3rd June 2026, which was sent to members on 8th June 2026.

Two special resolutions were proposed for shareholder approval:
1. Appointment and re-designation of Mr. Ranjan Jain as Whole-Time Director and fixation of remuneration - Special Resolution

- Votes against: 1,312,545 (30.67%)

2. Appointment and re-designation of Mr. Suninder Veer Singh as Managing Director and fixation of remuneration - Special Resolution

Outcome and Implications
Both resolutions failed to receive the required majority for approval. As a result, the previous resolutions passed by shareholders on 9th April 2022 for the appointment of Mr. Ranjan Jain as Managing Director and Mr. Suninder Veer Singh as Whole-Time Director will remain valid until 8th March 2027.
Process Details
The postal ballot process was conducted through remote e-voting facilitated by Central Depository Services (India) Limited (CDSL). The voting period commenced on 13th June 2026 at 9:00 AM IST and ended on 12th July 2026 at 5:00 PM IST. Shareholders holding shares as of 5th June 2026 (the cut-off date) were eligible to vote.
Mr. Kanwaljit Singh, Practicing Company Secretary (CP No. 5870, FCS No. 5901), was appointed as the Scrutinizer for the process. The Scrutinizer's report dated 14th July 2026 confirmed the voting results and the failure of both resolutions to pass.
