Key Agenda Items Approved:

1. Resignation of Company Secretary & Compliance Officer: The Board took note of the resignation letter tendered by Mrs. Nikita Roy from the post of Company Secretary Cum Compliance Officer, effective from 18th September 2026 after close of business hours. The reason for resignation was stated as "other professional commitments." Relevant details were previously intimated to Stock Exchanges vide letter dated 08/09/2026 under Regulation 30 read with Schedule III Para A of Part A of SEBI LODR Regulations.

2. Appointment of New Company Secretary: On recommendations from the Nomination and Remuneration Committee, the Board approved the appointment of Mrs. Shweta Gulati (ACS-58310) as Company Secretary in whole Time Employment with effect from 19th September, 2026. This appointment complies with Section 203 of the Companies Act, 2013 read with Rule 8 of Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014.

3. Appointment as Compliance Officer: The Board also appointed Mrs. Shweta Gulati as Compliance Officer in terms of Regulation 6(1) of SEBI (Listing Obligations and Disclosure Requirements) Regulation, 2015. Her profile indicates she is a qualified Company Secretary who has completed graduation and has wide experience in Secretarial, Listing Affairs, Governance and Regulatory Compliances. She is not related to any Director of the Company.

4. Authorization of Key Managerial Personnel: Pursuant to Regulation 30(5) of SEBI LODR Regulations, 2015, the Board approved three Key Managerial Personnel who are severally authorized to determine materiality of events or information and make disclosures to Stock Exchanges:

  • Mr. Netra Bahadur Ranabhat (Managing Director & Chief Executive Officer, DIN: 06716666)
  • Mrs. Sushma Rana (Chief Financial Officer)
  • Mrs. Shweta Gulati (Company Secretary & Compliance Officer)
