  • Four UK material subsidiaries (based on Net Worth) have changed their statutory auditor from KPMG LLP to KNAV Limited
  • Homefield Pvt. UK Limited (Holding Company with no operations)
  • TCE Group Limited (Intermediate Holding Company under Homefield with no operations)
  • Brunner Mond Group Limited (Intermediate Holding Company under TCE Group with no operations)
  • British Salt Limited (Operating Company with revenue of 5% of consolidated revenue)

Resignation Details:

  • KPMG LLP (Registration No. 9188307) resigned as statutory auditor of all four entities
  • Effective resignation date: September 16, 2026
  • New auditor appointed: KNAV Limited (Registration No. 03215471)

Reason for Resignation:

  • The continuation of audit fees at levels charged in previous years is no longer acceptable to the respective entities
  • KPMG stated in statutory statements that "the continuation of our fees at levels charged in previous years is no longer acceptable to the company"

Audit Concerns:

  • The Statutory Auditor of the Material Subsidiaries have not raised any concern about the affairs to the Audit Committee/Board of the respective entities
