Authority: National Company Law Tribunal, New Delhi Special Bench

Order Date: 11 June 2026

Case Overview

The National Company Law Tribunal (NCLT) heard a petition filed by Teil Projects Limited against the Registrar of Companies Delhi & Haryana. The matter relates to proceedings under Section 59 of the Insolvency & Bankruptcy Code, 2016. The arguments were heard and the order was reserved on 08 May 2026. In that previous order, the Tribunal had sought specific clarifications requiring the corporate person to provide: (i) detailed information about trade creditors totaling INR 34,10,942 (Rupees Thirty Four Lakhs Ten Thousand Nine Hundred Forty Two only), including particulars of these creditors, nature of transactions, amount outstanding, duration, whether claims were filed, and whether distribution was made; (ii) NoC from RoC which was undertaken to be filed during hearing on 30 April 2025 but not submitted; and (iii) record reflecting closure of bank accounts.

Final Outcome

The Tribunal noted that pursuant to its 08 May 2026 order, an affidavit dated 18 May 2026 was filed but provided clarification only on the first point regarding trade creditors without any documentary proof. Regarding bank account closure, the applicant annexed only letters requesting closure but no proof of actual closure. The Registrar of Companies has still not filed the NoC as directed. The Tribunal issued fresh directions to both the Applicant and RoC to take requisite steps as per the 08 May 2026 order and file an appropriate affidavit providing complete and comprehensive compliance details within two weeks. The order remains reserved subject to this compliance.
