The Board noted that Ms. Sandhya Yadav, Company Secretary & Compliance Officer of the Company, had resigned with effect from 01 May 2026, creating the vacancy from that date.

Immediately upon the vacancy arising, management initiated the recruitment process in accordance with:

  • Section 203 of the Companies Act, 2013
  • Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014
  • Regulation 6 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

Recruitment efforts included engaging recruitment consultants, utilizing professional networks, inviting and scrutinizing applications from eligible candidates, and conducting interviews to evaluate prospective candidates based on qualifications, experience, and suitability.

Despite these continuous efforts, the Company has not yet been able to identify a suitable candidate possessing the requisite qualifications, experience, and expertise required for the position. The office of Company Secretary & Compliance Officer therefore remains vacant as of the Board meeting date (01 August 2026).

The Board took on record the management's efforts and directed them to continue the recruitment process. The Board further instructed that a proposal for appointment be placed before them immediately upon identification of a suitable candidate.

Pending appointment, the Company shall ensure that all applicable statutory and regulatory compliances are monitored and carried out under the supervision of the Managing Director, Chief Financial Officer, and other authorized officers.

The Company committed to promptly inform the Stock Exchange upon appointment of the Company Secretary & Compliance Officer in accordance with SEBI LODR Regulations, 2015.

The Board meeting commenced at 12:30 PM and concluded at 1:00 PM on 01 August 2026.
