• Utkarsh Small Finance Bank held an NCLT-convened equity shareholders' meeting on March 28, 2026 to approve amalgamation with Utkarsh CoreInvest Limited.
• The scheme was passed with 99.9954% votes in favour out of 656,439,380 total votes polled (36.89% of outstanding shares).
• Promoter voting rights were capped at 26% per Section 12(2) of the Banking Regulation Act, 1949, limiting UCL's eligible votes to 462,676,158 shares.
• Scrutinizer CA Sumit Agrawal confirmed the resolution passed with requisite majority under Sections 230–232 of the Companies Act, 2013.
