Veegaland Developers Limited has submitted an intimation to BSE Limited and National Stock Exchange of India Limited regarding the adoption of its Policy on Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information (UPSI). This submission is made pursuant to Regulation 8(2) of the SEBI (Prohibition of Insider Trading) Regulations, 2015.

The policy was first approved by the company on November 20, 2025 (Version 1), and is owned by the Secretarial Department. The policy has been uploaded on the company's website at https://www.veegaland.com/investor-relations.

Key Policy Provisions:

Definitions: The policy provides a comprehensive definition of Unpublished Price Sensitive Information (UPSI), which includes but is not limited to: financial results; dividends; change in capital structure; mergers, de-mergers, acquisitions, delistings, disposals and expansion of business; changes in key managerial personnel; change in ratings; fund raising proposals; agreements impacting management or control; fraud or defaults by the company or its officials; resolution plans/restructuring of loans; insolvency proceedings; initiation of forensic audits; regulatory actions; litigation outcomes; guarantees given not in normal course; and granting/withdrawal of key licenses.

Fair Disclosure Principles: The company shall promptly disclose UPSI that would impact price discovery, follow uniform dissemination to avoid selective disclosure, designate the Chief Financial Officer as the Chief Investor Relations Officer, promptly disseminate any selectively disclosed UPSI, ensure appropriate response to queries on news reports, ensure information shared with analysts is not UPSI, transcript or record analyst meetings, and handle all UPSI on a need-to-know basis.

Legitimate Purposes: The policy includes an annexure (Annexure I) for determination of legitimate purposes for sharing UPSI, which includes sharing with partners, collaborators, lenders, customers, suppliers, merchant bankers, legal advisors, auditors, insolvency professionals or other advisors/consultants in the ordinary course of business.

Database Requirements: The board shall ensure maintenance of a structured digital database containing names of persons/entities with whom UPSI is shared along with PAN or other identifiers, with adequate internal controls and checks including time stamping and audit trails.

Confidentiality Requirements: Recipients of UPSI must be notified that they are receiving UPSI, made aware of their duties and responsibilities, and instructed to maintain confidentiality. Parties must execute confidentiality and non-disclosure agreements.

The policy is subject to amendment by the Board of Directors, and any amendments will be intimated to stock exchanges and updated on the company's website.
