Transfer Details

  • First Tranche Completion: The promoter, Mr. Gordhan P. Tanwani, transferred 3,27,00,000 (Three Crore Twenty Seven Lakh) fully paid-up equity shares of face value Re. 1/- each to Skybridge Interactive LLP ("the Acquirer").
  • Stake Percentage: This represents 62.29% of the paid-up equity share capital of the Company.
  • Transaction Price: Shares were transferred at a price of Rs. 6/- per share.
  • Total Consideration: The transaction aggregates to Rs. 19,62,00,000/- (Nineteen Crore Sixty Two Lakh).
  • Transfer Mechanism: The transfer was effected by way of off-market transfer.
  • Effective Date: The transfer was completed in the records of the depository on Tuesday, 6th October, 2026.
  • Company Intimation: The Company received intimation of the transfer on 6th October, 2026 at 5.47 p.m.

Balance Shares

  • Pending Transfer: The balance 65,00,000 (Sixty-Five Lakh) equity shares held by the promoter, representing 12.38% of the paid-up equity share capital, remain to be transferred.
  • Condition: This transfer is subject to fulfilment of closing conditions agreed between the promoter and the Acquirer.
  • Future Disclosure: The Company will make a further disclosure upon completion of the transfer of the balance shares.

Change in Control

  • New Controlling Stake: Consequent upon the transfer, the Acquirer now holds 3,27,00,600 equity shares representing 62.29% of the paid-up equity share capital.
  • Control Acquisition: The Acquirer has acquired control of the Company and shall be classified as a Promoter of the Company.
  • Board Reconstitution: The reconstitution of the Board of Directors and Key Managerial Personnel will be considered by the Board at its meeting to be held on Friday, 9th October, 2026.
  • Outcome Disclosure: The outcome of the board meeting will be submitted separately.

  • Skybridge Interactive LLP: 600 shares (0.00%)
  • Public Shareholding: 1,32,91,400 shares (25.32%)

After Transfer:

  • Mr. Gordhan P. Tanwani (Promoter): 65,00,000 shares (12.38%)
  • Mr. Pravin J. Karia: 8,000 shares (0.01%)
  • Total Promoter/Promoter Group: 65,08,000 shares (12.39%)
  • Skybridge Interactive LLP: 3,27,00,600 shares (62.29%) [includes 600 shares acquired under Open Offer]
